<br /> The CITY OF REDWOOD CITY, a charter city and California municipal corporation
<br /> ("City"), hereby remises, releases and quitclai.ms to REDWOOD CITY JEFFERSON, LLC, a
<br /> Delaware limited liability company ("Developer"), a11 right, title and interest in and to that
<br /> certain real property located in the City of Redwood City, County of San Mateo, State of
<br /> California, and more particularly described in Exhibit "A" attached hereto a.nd incorporated
<br /> herein by this reference(the"Property").
<br /> 1. The Property is conveyed hereunder in accordance with and pursuant to tha.t
<br /> certain�roperty Disposition Agreement("PDA") dated as of November 5, 2014 (the "PDA") by
<br /> and between the City and Greystar GPII, LLC, a Delaware limited liability company
<br /> ("Greystar"), as assigned to Developer pursuant to that certain Assignment and Assumption of
<br /> Property Disposition Agreement, da.ted as of November 12, 2014 (the "Assignment
<br /> Agreement"), by and between Developer and Greystar. Copies of the PDA and the Assignment
<br /> Agreement are on file with the City.at its offices as a Public Record.
<br /> 2. Obli�ation to Refrain from Discrimination. The Developer covenants and agrees
<br /> for itself, its successors, its assigns and every successor-in-interest to all or any porkion of the
<br /> Properly, tha.t there sha11 be no discrimination against or segregation of any person, or group of
<br /> persons, on account of gender, sexual orientation, marital status, race, color, religion, creed,
<br /> national origin or anceshy in the sale, lease, sublease, transfer, use, occupancy, tenure or
<br /> enjoyment of the Property nor shall Developer, itself or any person claiming under or through it,
<br /> esta.blish or permit any such practice or practices of discrimination or segregation with reference
<br /> to the selection, location, number, use or occupancy of purchasers, tenants, lessees, subtenants,
<br /> sublessees or vendees of the Property. The covenant of this Section 2 sha11 be a covenant
<br /> running with the land and binding on successive owners of all or any portion of the Property, in
<br /> perpetuity.
