<br /> Water Line Easement Deed
<br /> THE UNDERSIGNED GRANTOR DECLARES AS FOLLOWS:
<br /> The undersigned declares that this Grant Deed is exempt from Recording Fees
<br /> pursuant to California Government Code section 27383 and exempt from Documentary
<br /> Transfer Tax pursuant to California Revenue and Taxation Code section 11922.
<br /> FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, San
<br /> Mateo Credit Union (Grantor) hereby GRANT(s) to the City of Redwood City, a charter
<br /> city and municipal corporation (Grantee), a permanent easement in and to that certain
<br /> real property in Redwood City, County of San Mateo, State of California as more
<br /> particularly described in and shown on Exhibit A, attached hereto and incorporated
<br /> herein by this reference. The parcel of real property described in and shown on Exhibit
<br /> A shall be kept free and clear of buildings and structures of any kind. The provisions of
<br /> this Deed are intended to and will run with the land, and, until their expiration or
<br /> termination in accordance with the terms of this Deed, will bind, be a charge upon and
<br /> inure to the benefit of Grantor and Grantee, their respective successors and assigns.
<br /> THE PURPOSE(S) OF THE EASEMENT shall be to erect, install, construct, remove,
<br /> repair, replace, reconstruct, maintain and use for public service purposes any and all
<br /> materials, fixtures, appliances, equipment, pipes, and/or pipelines ("Facilities")
<br /> necessary for the transmission, distribution and delivery of water over, along, upon,
<br /> under and across the parcel of real property described in and shown on Exhibit A.
<br /> Grantee shall indemnify, defend and hold Grantor, and its employees, agents, officers,
<br /> directors, attorneys, guests, licensees, invitees, and tenants, harmless from and against
<br /> any and all claims, demands, costs, liabilities, losses, causes of action and/or expenses
<br /> of any kind (including attorney's fees) related to Grantee's use of the said easement or
<br /> Grantee's operations upon the parcel of real property described in and shown on Exhibit
<br /> A, except to the extent of the gross negligence or willful misconduct of Grantor.
<br /> � Notwithstanding anything to the contrary contained in this Deed, upon termination of the
