("CLP") agrees to supply unlicensed construction workers <br />("CLP Workers") to the City of Redwood City, a municipal corporation ("City"), <br />effective as of the date of this Agreement on the following terms and conditions. <br />ENGAGEMENT: CLP Workers are the employees of CLP, and CLP retains all right and <br />authority to recruit, hire, employ, assign and reassign, promote, discipline and terminate <br />CLP workers. CLP is an Equal Opportunity employer. CLP will use its sole discretion to <br />select and assign CLP Workers with skills and experience levels appropriate to City's <br />needs. CLP Workers are covered by Worker's Compensation and General Liability <br />insurance, and CLP is responsible for all federal and state payroll taxes and withholding <br />and other applicable fringe benefits. CLP will provide City with a Certificate of Workers <br />Compensation insurance. CLP will use its best efforts to supply CLP Workers to City <br />upon City's oral request from time to time, but shall be under no obligation to supply <br />workers for any specified project or duration or to continue to supply workers if any terms <br />of this Agreement are violated. <br />LIMITED GUARANTEE: If City is dissatisfied with any CLP Worker for any reason, <br />CLP will replace such unsatisfactory CLP Worker within the first five hours of <br />assignment. City shall not be invoiced for the hours worked by such unsatisfactory CLP <br />Worker when CLP is notified within the first five hours of assignment. CLP makes no <br />other warranties, express or implied, with respect to CLP Workers or their performance <br />while on City's jobsite. <br />TERMS: City will be invoiced weekly based on an hourly rate (the "Billing Rate") for <br />each hour a CLP Worker is engaged in construction work on City's jobsite. The Billing <br />Rate and any applicable minimums and overtime rates shall be specified by CLP to City <br />on a separate Schedule of Fees attached hereto. Invoices are due and payable within <br />thirty days of invoice date. Disputed invoices must be brought to the attention of CLP in <br />writing within twenty days after receipt. Monthly late charges at the rate of one and one- <br />half percent per month will be added to the outstanding balance on all invoicea nût paid <br />in full when due. <br />CITY'S RESPONSffiILITIES: City shall be solely responsible for directing the CLP <br />Workers' on-site construction activities and shall retain full control over the means and <br />methods of construction at the jobsite. City shall assign to CLP Workers only duties <br />which are consistent with the CLP Workers' skills and abilities as determined by CLP. <br />City shall have on-site personnel responsible for the supervision of CLP Workers. City <br />shall maintain the construction site in a safe and hazard-free condition in compliance with <br />OSHA and applicable state regulations. City shall also maintain the workplace free from <br />discrimination and unfair labor practices. City shall not request or require CLP Workers <br />to perform tasks which require driving a vehicle unless City delivers to CLP, in advance, <br />an insurance policy acceptable to CLP naming CLP as additional insured. <br /> 1 <br /> .._...,,,_.,_..~.,,...
