GRANT OF REVOCABLE ENCROACHMENT PERMIT FOR WATER AND SEWER LINES
<br />Pursuant to the provisions of Resolution No. 16-07 of the Planning Commission of the City of Redwood City,
<br />adopted May 3, 2016 ("Resolution"), permission is hereby granted by this Revocable Encroachment Permit
<br />("Permit') to CENTRUM OWNERS ASSOCIATION, a California nonprofit corporation ("COA"), ORACLE
<br />AMERICA, INC., a Delaware corporation ("OAI"), and ORACLE CORPORATION, a Delaware corporation
<br />("Oracle" and together with COA and OAI, the "Permittee") to construct underground water mains and a
<br />sewer main for domestic water and sanitary sewage transmission purposes within portions of the City public
<br />right-of-way located on Oracle Parkway (such portions of Oracle Parkway being referred to herein as the
<br />"Subject Premises"), situated in the City of Redwood City, County of San Mateo, State of California ("City"),
<br />for use by the adjoining parcel located at 275 Oracle Parkway (the "275 Oracle Parkway Parcel"). The 275
<br />Oracle Parkway Parcel is more particularly described in Exhibit "A" and the Subject Premises are more
<br />particularly described and depicted in Exhibit "B," attached hereto and incorporated herein by this reference.
<br />In consideration of the facts set forth above, the mutual promises and terms and conditions of this Permit and
<br />other valuable consideration, the adequacy of which is hereby acknowledged, the parties hereto agree as
<br />follows:
<br />ARTICLE I
<br />DEFINITIONS
<br />1.1 Facilities — means water and sewer mains, valves, manholes, cleanouts, cathodic protection,
<br />appurtenances, and related facilities located or to be located in the Subject Premises and used for the
<br />transmission of domestic water and sanitary sewage purposes.
<br />1.2 Public Rights-Of-Way—means the surface of and the space above and below any street, road, highway,
<br />Right -Of -Way, alley, easement, pathway, sidewalk and other public way, including driveway, curb,
<br />gutter, paving or other surface and subsurface drainage structure or facility and any public place, or City
<br />property, now or hereafter existing as such within the City.
<br />ARTICLE II
<br />PERMIT REVOCABLE; INSTALLATION AND MAINTENANCE OF FACILITIES
<br />2.1 Property Usage. The use of the Subject Premises by Permittee shall be limited solely to underground
<br />water mains and a sewer main for domestic water and sanitary sewage transmission purposes and
<br />related uses as set forth in this Permit.
<br />2.2 Permit Revocable. This Permit does not constitute a deed, grant of easement, lease, conveyance, or
<br />transfer of any property interest and is revocable without cause at any time at the will of the Council of
<br />the City of Redwood City, effective immediately upon giving notice of such revocation to Permittee.
<br />2.3 Permitted Installations. Pursuant to the terms of this Permit, Permittee may install, maintain, operate,
<br />relocate and remove the Facilities within the Subject Premises subject to the issuance of required
<br />encroachment and building permits and approvals. The Facilities shall be shown and described in permit
<br />applications filed with the City Engineer and may be modified by subsequent permits approved by the
<br />City. All Facilities to be installed, maintained, operated, relocated and removed under this Permit shall
<br />be underground.
