ORIGINAL <br />GENERAL SERVICES AGREEMENT <br />A Bright Idea DBA M LITE <br />This Agreement is made and entered into between the City of Redwood Ci"City"), a <br />municipal corporation, and A Bright Idea DBA M LITE ("Contractor") as of( • 1, 'L0 19 <br />(the "Effective Date"). In consideration of their mutual covenants, the parties hereto agree as <br />follows: <br />1. Scone of Work. Subject to the terms and conditions of this Agreement, <br />Contractor shall provide those services described in Exhibit A and incorporated herein by <br />reference. In summary, the scope of services includes but it not limited to the replacement and <br />retrofitting of existing facility lighting to new, energy efficient lighting at three (3) City facilities: <br />Redwood City City Hall, Redwood City Police Facility, and the Community Activities Building <br />(CAB). . <br />Further, Contractor understands and acknowledges that City is hiring Contractor to <br />complete this project in connection with the City's partnership with the San Mateo Energy <br />Watch Program and Pacific Gas & Electric (PG&E) which will make the City eligible for certain <br />rebates based on energy efficiencies, which efficiencies and rebates are a material reason for the <br />undertaking of this work. Accordingly, in addition to City inspections of the work, third parties <br />may also inspect the work to ensure it is completed in compliance with requirements and <br />standards of the San Mateo Energy Watch Program and PG&E requirements and standards. <br />Contractor warrants that it has the skill and competence to perform this work in accordance with <br />the both the specifications and requirements for this work generally and more specifically in <br />accordance with the San Mateo Energy Program Watch and PG&E requirements and standards <br />and that it will correct deficiencies within a reasonable time upon notice at Contractor's sole <br />expense. <br />2. Pavment Terms. For the services described in Exhibit A, the City agrees to pay <br />Contractor a total amount that shall not exceed Fifty-one Thousand Two Hundred Ninety-five <br />Dollars and Ninety-six Cents ($51,295.96), which amount shall include all expenses. Contractor <br />shall submit progress billings on a monthly basis, if applicable. Contractor's bill shall include <br />the following information for the project: a brief description of services performed, the date the <br />services were performed, the number of hours spent and by whom, a brief description of any <br />costs incurred, percent completion to date of each task and subtask, total of prior billings, amount <br />for billing period, total billing to date. In no event shall Contractor submit any billing for an <br />amount in excess of the maximum amount of compensation provided for in this section. <br />3. Term of Performance. Contractor shall begin performing the services set forth <br />in Exhibit A as soon as he or she is notified by the City. Contractor shall thereafter perform and <br />complete all services by no later than November 15, 2018. <br />4. Indeaendent Contractor. At all times during the term of this Agreement, <br />Contractor, its employees and agents shall be independent contractors and not employees or <br />agents of the City.
