EXHIBIT A <br /> _, IGINAL <br /> <br /> AGREEMENT <br /> <br /> PROFESSIONAL CONSULTING SERVICES <br /> (EXCITE@HOME PROPERTY AND MIDPOINT TECHNOLOGY PARK CAMPUS) <br /> <br /> THIS AGREEMENT, made and entered into this V:'~ day of ;~lf[/0~ v~ , <br />20 and between the CITY OF REDWOOD CITY, a charter city and municipal <br /> <br /> corporation of the State of California, ("City"), and BOTTOMLEY ASSOCIATES, <br /> URBAN DESIGN & CITY PLANNING, of Oakland, California ("Consultant"); <br /> <br /> WlTNESSETH: <br /> <br /> WHEREAS, City requires urban design review assistance relating to land use, <br />development intensity, building height, and orientation within the 3.4 acre <br />Excite@Home site in context with the Martin Group Campus and surrounding <br />neighborhood in the City of Redwood City (the "Project"); and <br /> <br /> WHEREAS, in connection with the Project, the City requires professional <br />consulting services; and <br /> <br /> WHEREAS, Consultant represents that it possesses the experience, and is <br />qualified to perform the aforesaid services for the Project; <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1. CONSULTANT'S SERVICES. Consultant shall perform professional <br />consulting services described in Exhibit "A" hereof, attached hereto and by this <br />reference incorporated herein. <br /> <br /> 2. COMPENSATION; EXPENSES; PAYMENT.
