AGREEMENT C33GINAL LIFEMOVES (Maple Street Shelter) THIS AGREEMENT, made and entered into this _1 k day of ak6ear 2019, by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("City") and LIFEMOVES, a California nonprofit organization ("Subrecipient"; collectively the "Parties"), WITNESSETH: WHEREAS, Subrecipient provides certain services through programs, including the Project described in Exhibits "A" ('Program & Quantitative Goals"), and "B" ("Program Budget'), attached hereto and made a part hereof; and WHEREAS, Subrecipient has requested financial assistance in order to conduct the Project described in Exhibit A for residents of City during the fiscal year commencing July 1, 2019, and ending June 30, 2020 (the "Fiscal Year'). NOW, THEREFORE, the Parties hereby agree as follows: 1. FINANCIAL ASSISTANCE. City will allocate to Subrecipient the sum of Seventeen Thousand Nine Hundred Forty -Nine and No/100 Dollars ($17,949) (the "Subaward") for exclusive use by Subrecipient during the fiscal year commencing July 1, 2019, and ending June 30, 2020, solely for the purposes described in Paragraph 2. 2. USE OF FUNDS. Subrecipient will use the funds provided pursuant to Paragraph 1 solely for the Project objectives described in Exhibit A and Exhibit B, attached hereto and by this reference incorporated herein. 3. CHANGES TO PROJECT. No changes in the Project described in this Agreement which is funded by the Subaward will be made without the prior written consent of City. 4. PAYMENTS. A. Program Income. Subrecipient will report all program income (as defined at 24 CFR 570.500(a)) (`Program Income") generated by activities carried out with REV: 09-09-19 DZ ATN/AGR.2019.243/LifeMoves (Page 1 of 17)
