<br />ORIGINAL <br /> <br />AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF <br />REDWOOD CITY AND THE BAY AREA WATER SUPPY AND <br />CONSERVATION AGENCY <br /> <br />THIS AGREEMENT is made and entered into as of the 1 ih day of December, 2007 by <br /> <br />and between the CITY OF REDWOOD CITY, hereinafter referred to as "City", and BAY AREA <br /> <br />WATER SUPPLY AND CONSERVATION AGENCY, hereinafter referred to as "BAWSCA". <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />A. That BAWSCA desires to engage the City to render certain Information Technology <br />services to BAWSCA related to developing and providing BAWSCA with a web based water <br />conservation database system for the washing machine rebate program; <br />B. That City is qualified to provide such services to BAWSCA; and <br />C. That BAWSCA has elected to engage the services of City upon the terms and <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The scope of the City's services will consist, of providing a web based washing <br />machine rebate database system with all software, hardware, and services necessary to develop, <br />install, test, document, train in the use, and maintain the system. The web based washing machine <br />rebate database system will track washing machine rebate applications received from PG&E as well <br />as the approval statuses from the participating agencies. A complete and detailed scope of work is <br />described in Exhibit A. <br /> <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br />City under this Agreement, subject to any changes that may be made subsequently hereto upon the <br />mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br /> <br />1 <br />
