AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br />The Sourcing Group, LLC <br />This Amendment No. 1 (the "Amendment No. 1") by and between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City") <br />and The Sourcing Group, LLC, a New York corporation ("Sourcing Group" or "Assignee" <br />or "Consultant") as assignee of lmageX, Inc. ("ImageX" or "Assignor"), is entered into and <br />effective as of October , 2020. <br />RECITALS <br />A. City and ImageX previously executed that certain Agreement for Services, <br />dated as of July 9, 2020 ("Agreement"). <br />B. ImageX hereby assigns, transfers, grants, and conveys all its rights, title, <br />interest, powers, privileges, and benefits under the Agreement to Sourcing Group. <br />C. Sourcing Group as assignee hereby assumes the liabilities under the <br />Agreement and will perform such assumed liabilities as they come due, in each case in <br />the manner and to the extent set forth in the Agreement. <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Section 17 of the Agreement shall be revised to reflect the following notice <br />provisions for Consultant: <br />Notices to Consultant shall be delivered to: <br />The Sourcing Group, LLC <br />5990 Stoneridge Drive, Suite 112 <br />Pleasanton, CA 94588 <br />Attn: Glen Douglas <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />4.
