<br />DUPLICATE <br />ORIGINAL <br /> <br />AGREEMENT FOR <br />INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br />REDWOOD CITY AND THE TOWN OF ATHERTON <br /> <br />THIS AGREEMENT is made and entered into this~ day Of~, 2009, by and <br />between the CITY OF REDWOOD CITY, hereinafter referred to as "R0t~ THE TOWN OF <br />ATHERTON, hereinafter referred to as "TOA," and collectively herein called the "Parties." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br /> <br />WHEREAS, TOA desires to engage RWC to render certain Information Technology <br /> <br />services to TOA related to carrying on the day to day technology related operations of TOA; and <br /> <br />WHEREAS, RWC is qualified to provide such services to TOA; and <br /> <br />WHEREAS, TOA has elected to engage the services of RWC upon the terms and <br /> <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1 . Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those <br /> <br />services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br /> <br />hereof as though it were fully set forth herein. <br /> <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br /> <br />RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br /> <br />the mutual written agreement of said Parties. <br /> <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br /> <br />set forth in Exhibit A. <br /> <br />2.
