REV: 09-20-2021 RL <br />AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br /> (O’Dell Engineering) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of September 17, 2021 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and O’Dell Engineering, a <br />California corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of August 17, 2021, (the “Original Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a flat rate amount of Seven Thousand Seven <br />Hundred Fifty Dollars ($7,750) for the completion of all the services described in Exhibit <br />“A”, which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 1, the total amount payable under the Agreement <br />will be a flat rate amount of Thirty-One Thousand Seven Hundred and Fifty Dollars <br />($31,750). <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />[The remainder of this page left intentionally blank] <br />ATTY/AGR.2021 - Amend No. 1/O'Dell Engineering (Page 1 of 3)
