REV: 11-09-2021 RL MASTER PURCHASE AGREEMENT FOR GOODS, COMMODITIES, AND SERVICES This Master Purchase Agreement for goods, commodities and services (“Master Purchase Agreement”) is made and entered into on this ______ day of ______ ________ 2021 (the “Effective Date”) by and between Bosco Oil, Inc. DBA Valley Oil Company, a California corporation (“Vendor”), and the City of Redwood City, a California charter city and municipal corporation (“City”). City and Vendor are sometimes referred to hereinafter individually as “Party” and collectively as “Parties.” RECITALS A. City requires the services of a Vendor for the provision and delivery of unleaded gasoline and renewable diesel fuel to City facilities. B. Following a solicitation process, Vendor submitted the lowest responsive and responsible bid received by City. C. City now desires to purchase goods and services from Vendor from time to time pursuant to the terms and conditions of this Master Purchase Agreement. NOW THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Master Purchase Agreement, the Parties hereto agree as follows: 1. Purchase of Goods and Services. City agrees to purchase, and Vendor agrees to sell, goods (“Goods”) and to provide any services related to the delivery of such goods (“Services”), on an as needed basis, as set forth in (i) the City’s Notice Inviting Bids (“City’s Bid Documents”), and (ii) Vendor’s Bid in response thereto (“Vendor’s Bid”). The City’s Bid Documents and the Vendor’s Bid shall be referred to collectively as the “Bid Documents”. The Goods will be in compliance with all of the standards and specifications set forth in the Bid Documents. In the event of any conflict, the order of precedence shall be as follows: (i) City’s Bid Documents; (ii) specifications set forth in this Master Purchase Agreement; and (iii) Vendor’s Bid. There will be no substitution of Goods without the prior written authorization of City. City will place an order (“Order”) on an as-needed basis with the Vendor through their sales representative. In no event shall any order form provided by the Vendor supersede the terms of this Master Purchase Agreement. 2. City Employees Authorized to Submit Orders. The following City employees are authorized to submit an Order pursuant to this Master Purchase Agreement: Redwood City Public Works Services Personnel holding the positions of Public Works Director, Superintendent, and Supervisor. 3. Term. Unless terminated earlier pursuant to Section 6, the term of this Master Purchase Agreement will be for a period of one (1) year from the Effective Date. The City Manager may amend the Master Purchase Agreement to extend it for up to three (3) additional consecutive one-year terms in an amount not to exceed Seven Hundred Fifty Thousand Dollars ($750,000) per extension term.
