<br />ASSIGNMENT AND ASSUMPTION AGREEMENT
<br />(Landscape Maintenance Agreement)
<br />THIS ASSIGNMENT AND ASSUMPTION AGREEMENT (this "Assignment") is dated
<br />effective as of October /k, 2024 ("Assignment Date"), by and between TGA 299 FRANKLIN
<br />LLC, a Delaware limited liability company ("Assignor) and SF FRANKLIN 2022, LLC, a
<br />California limited liability company ("Assignee") with reference to the following facts:
<br />WHEREAS, concurrently with the execution of this Assignment, Assignee has acquired
<br />from Assignor that certain land more particularly described on Exhibit "A" attached hereto (the
<br />"Land"), together with all rights and privileges appurtenant thereto, and all buildings and other
<br />improvements located thereon or attached thereto.
<br />WHEREAS, Assignor desires to assign, transfer and convey to Assignee all of
<br />Assignor's right, title and interest in and to the Landscape Agreement (hereinafter defined), and
<br />Assignee agrees to accept such assignment and assume any outstanding obligations from and
<br />after the Assignment Date, upon the terms and conditions set forth herein.
<br />NOW, THEREFORE, in consideration of the foregoing and other good and valuable
<br />consideration in hand paid by Assignee to Assignor, the receipt and sufficiency of which are
<br />hereby acknowledged, the parties agree as follows:
<br />1. Assignment. Assignor hereby irrevocably assigns, transfers and conveys to
<br />Assignee from and after the Assignment Date all of Assignor's right, title and interest in and to
<br />that certain Landscape Maintenance Agreement, dated April 30, 2013, by and between ELAN
<br />REDWOOD CITY, LLC, a Delaware limited liability company ("Original Assignor") and the
<br />City of Redwood City, recorded April 30, 2013, as document number 2013-065241, and as
<br />assigned by that certain Assignment and Assumption Agreement, dated June 3, 2016, by and
<br />between the Original Assignor, as assignor, and Assignor, as assignee, recorded June 6, 2016, as
<br />document number 2016-053851 (the "Landscape Agreement"). Assignee shall be solely liable
<br />and responsible for all obligations under the Landscape Agreement arising on or after the
<br />Assignment Date, and Assignee hereby agrees to protect, indemnify and hold harmless Assignor
<br />from any and all obligations and any claims, liabilities, losses, costs, damages and expenses
<br />(including, without limitation, reasonable attorneys' fees) which may arise in connection with such
<br />obligations under the Landscape Agreement on or after the Assignment Date.
