ATTY/RESO.0025/CC RESO 2432 BAY ROAD LLC REV: 04-10-25 LR Page 1 of 2 RESOLUTION NO. 16291 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD CITY APPROVING THE TEMPORARY CONSTRUCTION EASEMENT AGREEMENT BETWEEN THE CITY OF REDWOOD CITY, AS BUYER AND 2432 BAY ROAD LLC, AS SELLER, FOR THE PURCHASE OF A GRANT OF TEMPORARY CONSTRUCTION EASEMENT OVER REAL PROPERTY IDENTIFIED AS ASSESSOR’S PARCEL NUMBER (APN) 054-065-010 IN THE AMOUNT OF $34,500 WHEREAS, as part of the City of Redwood City’s (“City”) State Route 84 (Woodside Road)/U.S. 101 Interchange Reimagined Project, the City has identified the need for a Temporary Construction Easement (“TCE”) for public use to construct the project; and WHEREAS, City requires the subject property for a public use for which City has the authority to exercise the power of eminent domain. Seller is compelled to sell, and City is compelled to acquire the subject property; and WHEREAS, Said TCE is a TCE in, over and to the area described in the grant for construction activities, including but not limited to, all purposes connected with the laying down, construction, rehabilitation and installation of the Project, and the use and storage of tools, machinery, materials and equipment, and or temporary staging together with the right of ingress and egress to and from the TCE area, for the purposes aforesaid; and WHEREAS, The term of the TCE shall be thirty-six (36) months effective with notice of commencement of physical possession given in writing by Seller to City prior to commencement, unless extended pursuant to agreement by GRANTOR and GRANTEE. Said 36-month period shall terminate upon project construction completion or June 30, 2029, whichever is earlier; and WHEREAS, 2432 Bay Rd LLC (the “Seller”) has agreed to sell the TCE to the City for the purchase price of $34,500, which is the fair market value of the TCE as established pursuant to an appraisal. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF REDWOOD CITY AS FOLLOWS: Section 1. The City Council approves the Temporary Construction Easement Agreement between the City of Redwood City, as buyer, and 2432 Bay Rd LLC, as seller, for the purchase of the TCE within the property identified as APN: 054-065-010 in the amount of $34,500, substantially in the form attached as Exhibit A to this Resolution (the “Agreement”). Section 2. The City Manager, or her designee (each an “Authorized Officer”), is hereby authorized to execute and deliver, for and in the name of the City, the Agreement, with such additions or changes as the Authorized Officer executing the same may
