No Change in Ownership. <br />See statement below regarding purpose of this Quitclaim Deed. <br />QUITCLAIM DEED <br />(Levee Improvements) <br />This Quitclaim Deed is made by The Board of Trustees of the Leland Stanford Junior <br />University, a body having corporate powers under the laws of the State of California ('Stanford's, <br />to the City of Redwood City, a municipal corporation ("City') with reference to the facts recited <br />below. <br />A. Stanford is the fee owner of the property located in the City of Redwood City, San <br />Mateo County, California, identified as Assessor Parcel Number 054-320-550, and more <br />particularly described in Exhibit I attached hereto ("Stanford Property"). The Stanford Property <br />is located on the Seaport Peninsula in the City of Redwood City, adjacent to the property identified <br />as Assessor Parcel Number 054-320-540, and more particularly described in Exhibit 2 attached <br />hereto ("HCP Property') presently owned by HCP LS REDWOOD CITY, LLC, a Delaware <br />limited liability company ("HCP'/. <br />B. Pursuant to a Levee Financing and Improvement Agreement between City and <br />HCP, Metropolitan Life Insurance Company, a New York corporation, and Seaport Centre <br />Owners' Association ("SCOA") dated October 27, 2020, as amended ("Levee Agreement'), <br />SCOA retained a general contractor to, among other things, demolish the previously existing shore <br />protection wall along the boundary between the Stanford Property and the HCP Property and <br />replace it with a new wall and associated wall footings on the HCP Property ("Levee Wall'/.
