OROGONAL <br /> AGREEMENT <br /> FOR DISPUTE RESOLUTION AND CLAIMS CONSULTATION <br /> CONSULTING SERVICES <br /> [THE COVELLO GROUP — CONSULTANT] <br /> THIS AGREEMENT, made and entered into this 1- day of June, 2003, by and <br /> between the CITY OF REDWOOD CITY, a charter city and municipal corporation of the <br /> State of California ("City"), and THE COVELLO GROUP ("Consultant") (collectively, the <br /> "Parties"). <br /> WITNESSETH : <br /> WHEREAS, the City proposes to resolve through negotiation the claims and <br /> dispute with the Contractor relating to the Roosevelt Avenue Reconstruction Project <br /> (the "Resolution Process"); and <br /> WHEREAS, in connection with the Resolution Process, the City requires a <br /> professional for dispute resolution and claims consultation; and <br /> WHEREAS, Consultant represents that he possesses the experience, and is <br /> qualified to perform the aforesaid services for the Resolution Process; <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> 1. CONSULTANT'S SERVICES. Consultant shall perform dispute <br /> resolution and claims consultation activities, and related services as described in the <br /> Scope of Work section of Exhibit "A" hereof, attached hereto and by this reference <br /> incorporated herein. In addition, Consultant's services are provided under the explicit <br /> direction of City's City Attorney, Attorneys Lisa Wells and/or David Schricker. <br /> 2. COMPENSATION; EXPENSES; PAYMENT. City shall compensate <br /> Consultant for all services performed by Consultant hereunder at the rates shown in the <br /> F:Atty/Agr/Agr.131 <br /> 091603 1 <br />
