JRIGINr,I <br /> TECHNICAL CONSULTING SERVICES AGREEMENT <br /> THIS AGREEMENT, dated as of 7 , 2011, is by and <br /> between CITY DATA SERVICES, a Gener artnership, with offices located at 1624 <br /> Newbridge Avenue, San Mateo, CA 94401, ("ConsultanY') and the CITY OF <br /> REDWOOD CITY, a charter city and municipal corporation, located at 1017 Middlefield <br /> Road, Redwood City, CA 94063, ("City"): <br /> RECITALS <br /> WHEREAS, Consultant is specially trained, experienced, and competent to <br /> perform web based data system development and management services, which will be <br /> required by this Agreement; and <br /> WHEREAS, Consultant is willing to render such technical services, as hereinafter <br /> defined, on the following terms and conditions; and <br /> NOW, THEREFORE, Consultant and the City agree as follows: <br /> AGREEMENT <br /> 1) Scope of Seroice. Consultant agrees to provide professional technical services <br /> to develop and manage a web based data system, to license to the City use of its <br /> system, and to provide certain training, maintenance and other services related thereto. <br /> The scope of such services, including all tasks to be performed, shall be as detailed in <br /> Exhibit A(Exhibit A-1: System Development and Exhibit A-2: System Maintenance), <br /> which by reference is incorporated into this Agreement. <br /> 2) Comqensation. Payment shall be made by the City only for services actually <br /> rendered and upon submission of a payment request upon completion and City <br /> approval of the work pertormed. City hereby agrees to pay Consultant pursuant to the <br /> attached Exhibit A, which by reference is incorporated into this Agreement, such fee, <br /> inclusive of costs, profits and expenses, not to exceed the amount of $11,900.00. <br /> 3) Term. Unless earlier terminated in accordance with Section 14 below, the term <br /> of this Agreement shall commence on September 1, 2011 and expire on August 31, <br /> 2013. System Development services, as identified in Exhibit A-1, shall commence on <br /> September 1, 2011 and shall be completed by August 31, 2012.
