ORIGIN�L <br /> LICENSE AGREEMENT <br /> This License Agreement (this "Agreement") made and entered into this 28th day <br /> of February, 2013 by and between Docktown CB-R, LLC, a California limited liability <br /> company and Salaman Associates, LLC, a California limited liability company <br /> (collectively, "Owners") and the City of Redwood City ("City") bears the following <br /> recitals: <br /> RECITALS <br /> A. By virtue of a grant from the State Lands Commission,the City owns and controls the <br /> water ("Redwood Creek") and some land adjacent to the property located at 1548 <br /> Maple Street, Redwood City, California (commonly referred to as Docktown the <br /> Property"). Fred Earnhardt and his controlled corporation Docktown Marina, Inc. <br /> (collectively "Earnhardt") previously had a permit with the City for the use of <br /> Redwood Creek. Earnhardt recently surrendered that permit, and the City has <br /> accepted that surrender. <br /> B. The Owners own the Property. <br /> C. Earnhardt manages the Property under a lease with the Owners (the "Master Lease"), <br /> which Master Lease and Earnhardt's tenancy is scheduled to terminate on February <br /> 28, 2013. <br /> D. Earnhardt also manages a marina along Redwood Creek (the "Marina") pursuant to a <br /> Revocable Permit with the City which Earnhardt has terminated as of February 28, <br /> 2013, by written notice thereof to the City. There are currently various boats and <br /> floating homes, including house boats, live-aboards and sailboats, located in <br /> Redwood Creek(the `Boatowners"). <br /> E. Earnhardt has entered into subleases with various storage and other tenants who do <br /> not use the Marina (the "Land Subtenants") and has subleased a portion of the <br /> Property to the Boatowners (the "Marina Subtenants"). <br /> F. Pursuant to their Subleases the Boatowners are currently using portions of the <br /> Property, outlined in red on Exhibit A attached hereto, for the following purposes: <br /> 1. To gain access to the Marina and their boats; <br /> 2. Parking their cars; <br /> 3. Use of a portion of a building for the limited use of bathrooms, showers <br /> and laundry facilities; <br /> 4. Tying into utilities serving the Property; <br /> 5. Use of the Yacht Club; and <br /> 6. Use of the Harbor Master Building. <br /> G. For the tenants who have subleased portions of the Property, Earnhardt has mailed <br /> termination notices to the Land Subtenants, as a result of which their subleases with <br /> ATTY/AGR/2013.031/DOCKTOWN TEMPORARY LICENSE <br /> REV:02-28-13 PT <br /> Page 1 of 6 <br />
