�RIGIN��. IMPROVEMENT AGREEMENT (Maple Street Correctional Center) .� �T IS IMP}�OVEMENT AGREEMENT("Agreement")is made and entered into on this�day of Y , 2013 (`Bffective Date") by and between by and between the COUNTY OF SAN MATEO, a political subdivision of the State of California ("County"), and the CITY OF REDWOOD CITY, a charter city and California municipal corporation("City")with reference to the following facts: RECITALS A. County is the current fee owner of that certain real property consisting of approximately 4.65 acres located at 1300 Maple Street,within the City of Redwood City,County of San Mateo, State of California,depicted in the Site Plan,attached hereto as Exhibit A and incorporated herein by reference(the "Property"),where County is constructing a new jail(the"ProjecY'). B. County has submitted to City plans, specifications and drawings entitled Maple Street Correctional Center,Vo1.2—Civil-Sitework,Landscape,Structural Improvement Plans,prepared by HOK, Telamon Engineering Consultant, Inc., and SOHA Engineers and dated September 20, 2013 (the "Improvement Plans"), which, in addition to other improvements, provide for certain on-site public improvements consisting of street and street light improvements, storm drain systems, domestic water systems and sanitary sewer systems for the Project(collectively,"Improvements"). C. City and County desire to enter an agreement providing for the construction and installation of the Improvements in accordance with the Improvement Plans. AGREEMENT NOW,THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Agreement,the parties hereto agree as follows: 1. PL�r ose. The purpose of this Agreement is to guarantee completion of the Improvements and ensure satisfactory performance by County of County's obligations to satisfy the Conditions pertaining to the Improvements. 2. Propertv Subject to A�reement. The Property shall be subject to this Agreement. 3. Dutv to Install Improvements. County will construct, install and complete, or cause to be constructed, installed and completed, at the County's sole cost and expense, the Improvements, in accordance with the Improvement Plans (defined in Recital B. above) and to the satisfaction of the City Engineer,in his reasonable discretion. County will also supply all labor and materials therefor,all in strict accordance with the terms and conditions of this Agreement.
