DocuSign Envelope ID: C886763F-6F11-40FB-A710-BAC5AF9A400C <br />ORIGINAL <br />PILOT PROJECT SOFTWARE AGREEMENT <br />FOR AN AUTOMATED PERMIT AND LAND MANAGEMENT SYSTEM <br />(Camino Technology Solutions, Inc.) <br />This Agreement for a pilot project for the development and evaluation of a permit <br />management system (the "Agreement") is made and entered into between the City of <br />Redwood City ("City"), a charter city and municipal corporation, and Camino <br />Technologies, Inc., a Delaware corporation doing business in California as Camino <br />Technology Solutions, Inc. ("Consultant"), as of March 31, 2020 (the "Effective Date"), <br />(City and Consultant are, individually, a "Party" and, collectively, the "Parties"). <br />RECITALS <br />A. Consultant is developing an advanced technology platform called Camino <br />("Platform") designed with artificial intelligence and analytics capabilities to help improve <br />the ability of government agencies to process applications and permits, manage <br />inspections and code enforcement activities, and engage with the public. <br />B. On January 1, 2019, the Parties entered into a one (1) year agreement for a pilot <br />project where the City provided critical feedback to Consultant on the development and <br />optimization of the Platform and in exchange, Consultant provided the Platform to City <br />at a discounted rate. <br />C. The Parties now desire to enter into another one (1) year pilot project on the <br />same terms and conditions, except as modified in Exhibit A. <br />D. Consultant warrants to the City that it has the qualifications, experience, <br />software, and facilities to perform properly and timely the services under this <br />Agreement. <br />E. The City desires to contract with Consultant to perform the Scope of Services as <br />defined herein and as described in Exhibit A of this Agreement, which is attached and <br />incorporated herein by reference. <br />AGREEMENT <br />In consideration of the above Recitals and the following covenants, terms, and <br />conditions, the City and Consultant hereto agree as follows: <br />1. DEFINITIONS. For purposes of this Agreement, the following definitions apply: <br />1.1. "Agreement" means these general terms and conditions and all <br />exhibits attached hereto. <br />1.2.
