REV: 02-17-26 LR AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES ACE PARKING, INC. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2026, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and ACE Parking, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement Between the City of Redwood City and ACE Parking, Inc. for Operation and Maintenance of Jefferson Garage and Marshall Garage, dated as of January 15, 2021 (the “Original Agreement”) (The Original Agreement and this Amendment No. 1 are collectively known as the “Agreement”). B. While the Original Agreement was set to expire on November 30, 2025, the Parties continued to work together in good faith under the terms of the Agreement to ensure continuation of Services described under the Original Agreement. The Parties now wish to formally document the extension of the Original Agreement. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Two Hundred Twenty Two Thousand One Hundred Thirty Three Dollars and Ninety Seven Cents ($222,133.97) for the completion of all the services described in Exhibit “A” of the Original Agreement at the rates identified in Exhibit “A” of this Amendment No. 1, which sum will include all costs or expenses incurred by Consultant. Including this Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Two Million Four Hundred Fifty Five Thousand Seven Hundred Thirty Three Dollars and Ninety Seven Cents ($2,455,733.97). 2. The term of the Agreement is hereby extended for an additional three-month period. Including this Amendment No. 1, the total term of the Agreement is Five years Two months, expiring on March 9, 2026. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. ATTY/AGR.2026/Amend. No.1/ACE Parking Inc.
