LICENSE AGREEMENT <br /> THIS LICENSE AGREEMENT (this "Agreement ") is entered into as of this 24 <br /> day of June, 2009 (the "Effective Date "), by and between THE CITY OF REDWOOD <br /> CITY, a charter city and municipal corporation of the State of California (the "City "), <br /> and BAIR ISLAND AQUATIC CENTER, INC., a California non -profit corporation <br /> ( "BIAC "). <br /> RECITALS <br /> A. The City is the fee owner of that certain real property located in the City <br /> of Redwood City, California, which is described more specifically on Exhibit A to this <br /> Agreement (the "Property "). <br /> B. The City and BIAC are parties to a separate lease agreement (the <br /> "Lease "), pursuant to which BIAC lease from the City certain property commonly known <br /> as 1450 Maple Street, Redwood City, California, which BIAC uses in the operation of an <br /> aquatic center (the "Aquatic Center "). <br /> C. BIAC desires to use a portion of the Property to store trailers and certain <br /> other equipment used in connection with the Aquatic Center. <br /> NOW, THEREFORE, the parties agree as follows: <br /> AGREEMENT <br /> 1. Grant of License; License Area. For g ood and valuable consideration, <br /> receipt of which is hereby acknowledged, starting on July 1, 2009 (the "Commencement <br /> Date "), the City grants to BIAC a non - exclusive, personal and revocable license to enter <br /> the License Area (defined below) for the express and limited purpose of conducting the <br /> Activities as defined below in Section 4 (the "License "). The License Area is described <br /> on Exhibit B attached to this Agreement. <br /> 2. License Fee. As consideration for the grant of the License, BIAC shall <br /> pay the City a license fee in the amount of $750.00 per month (the "License Fee "). Each <br /> monthly installment of the License Fee shall be payable in advance, on or before the first <br /> day of each month during the term of the License. License Fees for any period during the <br /> term hereof which is for less than one month shall be a pro rata portion of the monthly <br /> installment. License fees shall be payable to the City at the address set forth in Section <br /> 19 below or at such other address as the City may from time to time designate in writing. <br /> 3. Acknowledgments by BIAC. BIAC acknowledges that BIAC has no <br /> right, title, or interest in or to any portion of the Property, including, without limitation, <br /> the License Area, other than the License specifically granted by the terms of this <br /> Agreement. The License is personal to BIAC and cannot be assigned, transferred, or <br /> otherwise conveyed by BIAC or by operation of law. <br /> BIAC License 6.11.09 v.2 1 <br />
