POR VALUA[3LE CONSIDERATION, THE RECEIPT OF WHICI-1 !S HEREE3Y ACKNO W LEUGEU: The CITY OF REDWOOD CITY, a California charter city and municipal corporation ("Grantor"), hereby grants to the COUN"i'Y OF SAN MATEO, a political subdivision oF the State of California ("Grantee"), the real property legally described in Exhibit A, attached hereto and incorporated herein by this reference ("Property"). I. The Property is granted pursuant to a Memorandum of Understanding ("MOU") entered into by and between the Grantor and the Grantee dated November 30, 2010. The Property is also conveyed subject to all matters of record. Capitalized terms not otherwise defined herein shall have the meanings ascribed to such terms in the MOU. 2. This grant is made on the condition that the Property be used solely and perpetually for constructing the San Mateo County Replacement Jail Project immediately adjacent to the Property, uses ancillary to the San Mateo County Replacement Jail Project, or other governmental use of the Yroperty by Grantee (`Governmental Purpose"). If the Property is not uscd solely and perpetually for this Public Purpose, then Grantor or its successor and assigns, without paying any compensation for any improvements thereon or without making any co►npensation or incurring any liability for damages or losses of any kind, shall have the power to terminate all right, title, and interest in the Property to Grantee and its successors and assigns, in the manner provided by law.lmmediately on such a termination, Grantee or its successors and assigns, shall forfeit all rights or title to the Property, and the Property shall revert to Granter or its successors and assigns. The provisions of this paragraph 2 shall run with the land and shall be contained in each subsequent grant deed conveying title to the Property to any subsequent owner.
