The Property is granted pursuant to a Memorandum of Understanding ("MOU") <br /> entered into by and between the Grantor and the Grantee dated November 30, 2010. The <br /> Property is also conveyed subject to all matters of record. Capitalized terms not otherwise <br /> defined herein shall have the meanings ascribed to such terms in the MOU. <br /> 2. This grant is made on the condition that the Property be used solely and <br /> perpetually for constructing the San Mateo County Replacement Jail Project immediately <br /> adjacent to the Property, uses ancillary to the San Mateo County Replacement Jail Project, or <br /> other governmental use of the Yroperty by Grantee (`Governmental Purpose"). If the Property <br /> is not uscd solely and perpetually for this Public Purpose, then Grantor or its successor and <br /> assigns, without paying any compensation for any improvements thereon or without making any <br /> co►npensation or incurring any liability for damages or losses of any kind, shall have the power <br /> to terminate all right, title, and interest in the Property to Grantee and its successors and assigns, <br /> in the manner provided by law.lmmediately on such a termination, Grantee or its successors and <br /> assigns, shall forfeit all rights or title to the Property, and the Property shall revert to Granter or <br /> its successors and assigns.
