8.A. - Page 135 <br /> 4. Compensation <br /> As compensation for services to be performed by the County pursuant to this Agreement, the <br /> City of Redwood City agrees to pay the County, commencing with the Fiscal Year 2014/15, <br /> according to the following fee schedule: <br /> (a) $1.35 per parcel for each special assessment to be collected unless the <br /> aggregate amount of the fees to be paid pursuant to this subsection (a) <br /> exceeds 5% of total special assessment collected by the County on behalf of <br /> the City if Redwood City pursuant to this Agreement, in which case the City <br /> if Redwood City agrees that, as payment pursuant to this subsection, it will <br /> pay the County an amount equal to 5% of such total special assessment <br /> collected by the County. The parties further agree that the "per parcel" fee <br /> set forth herein shall be subject to a percentage increase or decrease each <br /> fiscal year in accordance with the annual change in the County Labor <br /> Service Charge rate announced by the County Manager's Office in <br /> connection with the County's budgeting process. <br /> (b) $25 for each correction submitted by the City of Redwood City to the <br /> tax roll after the tax roll has been prepared to the extent such corrections are <br /> necessary due to errors in the proofs approved by the City of Redwood City <br /> prior to August 10th. <br /> (c) If the aggregate amount of the fees to be paid pursuant to subsection (a) <br /> above are equal to or less than $10.00, then such fees will be waived due to <br /> their immaterial fiscal impact. <br /> 5. Warranties; Hold Harmless <br /> The City of Redwood City hereby warrants and represents, to the best of its knowledge, that the <br /> special assessments do not violate applicable laws and regulations, including but not limited to <br /> Proposition 218, and further represents that the special assessments are not illegal in any respect. <br /> The City of Redwood City agrees to indemnify and hold harmless the County, its officers, <br /> agents, and employees from all claims, suits, or actions of every name, kind, or description, <br /> brought for or on account of, the County's collection of the special assessments, including but <br /> not limited to the payment of any and all attorney's fees. The City of Redwood City shall have <br /> the right to select counsel or to use its own counsel, in its discretion, in the County's defense. <br /> The duty of the City of Redwood City to indemnify and save harmless, as set forth herein, shall <br /> include the duty to defend as set forth in Section 2778 of the California Civil Code. <br /> ATTY /AGR/2014.136/CBI D <br /> REV: 07 -23 -14 PT <br /> Page 2 of 4 <br />
