Licensor shall be named as an additional <br /> insured. <br /> The insurance will be in force during the life of this Agreement and will not be canceled <br /> without thirty (30) days prior written notice to the Licensor by certified mail. Licensor, <br /> its officers, City Council, agents, volunteers and employees will be named as additional <br /> insured on the General and Property liability policies. Licensee's insurance coverage <br /> will be primary insurance with respect to licensor, its officers, agents, employees and <br /> volunteers. Any insurance or self-insurance maintained by Licensor will be in excess of <br /> licensee's insurance and not contributory with it. Licensee will furnish certificates of <br /> insurance and endorsements to Licensor prior to Licensor's execution of this <br /> Agreement. <br /> 7. TERMINATION. <br /> Either party may terminate this Agreement at any time after providing written <br /> notification at least two (2) months prior to the intended termination date to the <br /> Parties specified below. <br /> 7.1 Licensor may terminate this Agreement upon the occurrence of any of the <br /> following after providing Licensee with two (2) months' prior written notice <br /> during which time Licensee has not cured the deficiency: <br /> (a) Licensee fails to pay monthly fee. <br /> (b) Licensee fails to adhere to the Programs or provide Services listed on <br /> Exhibit B. <br /> (c) Licensee fails to coordinate the use of the Premises occupied by Licensee <br /> with City staff. <br /> (d) Licensee fails to control its staff guests or invitees and as a result the <br /> activities at the Center are regularly disrupted. <br /> (e) Licensee fails to remain a financially viable organization, serve the target <br /> populations and provide quality services.
