of actual damages occasioned by such breach. <br /> 10. Prior to the commencement of any performance required <br /> pursuant to this agreement, Employing Agency shall provide <br /> Certificates of Insurance which evidence insurance coverage in <br /> amounts , in forms, and with companies to the satisfaction of the <br /> City Manager. Said certificates shall name the City, its Council, <br /> officers, agents and employees as "additional insureds" and shall <br /> contain an endorsement giving the City thirty days notice of <br /> cancellation or material alteration of said coverage. Said <br /> certificates, if any be required, shall be forwarded to the City <br /> Manager, who shall in turn forward them to the City Attorney for <br /> approval as to form. <br /> 11. Prior to implementation of this agreement, Employing Agency <br /> shall submit a certification to City that all officials , employees <br /> and agents handling or having access to funds (other than petty <br /> cash which is an amount no greater than $100. 00) received or <br /> disbursed by Employing Agency under this agreement, or who are <br /> authorized to sign or countersign checks , are covered by a blanket <br /> fidelity bond in the amount of $ <br /> . If the bond <br /> is cancelled or reduced Employing Agency shall notify City <br /> immediately. In that event, City may withhold payment to Employing <br /> Agency until it is assured that the proper coverage has been <br /> obtained. <br /> 12. Employing Agency agrees to indemnify, defend and save <br /> harmless City, its officers, agents and employees from any and all <br /> claims and losses accruing or resulting to any and all contractors , <br /> subcontractors , materialmen, laborers and any other person, firm or <br /> corporation furnishing or supplying work services , materials or <br /> -6- <br />
