administration of the PSE program including, but not limited <br /> to, recruitment, screening, selection and placement of PSE <br /> participants and Employing Agencies. City has the right to <br /> determine the number of participants and who shall be assigned <br /> to Employing Agency. <br /> 6. This agreement is effective from <br /> to <br /> 7 . This agreement may be amended or extended only upon mutual <br /> agreement in writing by the parties hereto. <br /> 8 . Either party may terminate this agreement upon the giving <br /> of thirty days advance notice in writing to the other party of <br /> such termination, providing that such action does not violate the <br /> guidelines and regulations of the Act, and/or Title VI of the <br /> Civil Rights Act of 1964 , (42 U.S.C. 2000/d) . <br /> 9. Any material deviation by Employing Agency from the require- <br /> ments and covenants of this agreement shall constitute a breach of <br /> this agreement and may be cause for termination of this agreement <br /> at the election of City or at the direction of the Department of <br /> Labor. City may terminate this agreement for cause by giving <br /> seven days written notice to Employing Agency. In doing so, City <br /> may require Employing Agency to cease any expenditures hereunder <br /> immediately upon receipt of said notice of termination, and to turn <br /> over unexpended funds to City. <br /> City may terminate this agreement in the manner described above <br /> if , for any reason, in the opinion of City, Employing Agency is <br /> unable to discharge its obligations hereunder. <br /> City may waive any and all breaches of this agreement. Such <br /> waiver shall not constitute waiver of any previous or subsequent <br /> breach. Waiver may be conditioned upon payment by Employing Agency <br /> -5- <br />
