ORIGINAL AMENDMENT NO. 2 TO EXTEND LICENSE AND ACCESS AGREEMENT (REG8 Sequoia Station, LLC) This Amendment No. 2 is entered into and effective as of the _J�L— day of 62 u4,j�)-- , 2019, extending the License and Access Agreement dated November 12, 2014 (the "Agreement') by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and REG8 Sequoia Station, LLC, a Delaware limited liability company ('Regency") (collectively, the 'Parties"). RECITALS A. On November 12, 2014, the Parties executed a License and Access Agreement, granting the City access to the Sequoia Station Shopping Center property, located at 1071 EI Camino Real in Redwood City, California, as described in the attached Exhibit "A" (the "Property"), to perform various tasks related to groundwater monitoring and sampling; and B. On October 20, 2016, the Parties executed Amendment No. 1 to the Agreement; and C. The Parties desire to extend the Agreement until the completion of the work or September 1, 2021, whichever occurs first; and NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The Agreement, as may have been amended from time to time, is hereby extended until the completion of the work or September 1, 2021, whichever occurs first. 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. The individuals executing this Amendment and the instruments referenced on behalf of the Parties each represent and warrant that they have the legal power, right and actual authority to bind the Parties to the terms and conditions hereof of this Amendment.
