EXHIBIT "A" SCOPE OF SERVICES 1. Scope of Services. Partners shall assist the City by executing the following scope of services in a satisfactory and proper manner in accordance with direction provided by the City Manager, or designee. Services may include: • Temporary financial management services of limited duration; • Analytical services; and advice related to the City's finances. • Business process, organizational improvement and customer service improvement services; and, • Specific projects as assigned which may include revenue and expense monitoring and projections, bond refinancing, banking service agreement negotiation and analysis of maintenance district financing options. 2. Time of Performance. Services of Partners shall be available upon receipt of an approved copy of this Agreement, and shall be undertaken and completed in accordance a schedule of perFormance that is satisfactory to the City. 3. Comaensation and Method of Pavment. Partners will invoice the City on a periodic basis as services are provided. The hourly rate charged for services performed by Hossein Golestan on this engagement will be $125 plus expenses, as described in Management Partners proposal dated October 21, 2014 (Exhibit B). Expenses are billed at cost. 4. Independent Partners. Neither Partners nor its employees are considered to be employees of the City, for any purpose whatsoever. Partners is an independent contractor in the performance of the services herein described. 5. Personnel. Partners has trained personnel required in performing alt of the services required under this Agreement. Such personnel shall not be employees of or have a contractual relationship with the City separate from their service as employees of Partners. All training and direction as to the perFormance of said services shall be from Management Partner and the individual consultant. Services required hereunder will be performed by Partners or under its supervision and all personnel engaged in the work shall be fully qualified and shall be authorized or permitted under state and local law to perform such services.
