("'Consultant'"). RECITALS A. City requires the professional services of an environmental pfanning �rm ta conduct cultural resources evaluation reports for the area around the Middlef�eld Road/W'oodside Road intersection. B. Consultant has the necessary experience in providing professional services and advice. �. Selection of Consultant is expected ta achieve the desired results in an expedited fashion. D. Consultant has submitted a proposal to City and has affirmed its willingness arrd ability ta perform such work. NQW, THEREF�RE, in consideratian af these recitals and the mutual covenants contained herein, th� Parties agree as follows: 1. Scape c�f Work. City retains Car��uitant to perform, and Consultant agrees to render, those services �the "S�ervices") that �re defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict b�tween the provisions of Exhibit "A" and the te�ms af this Agreement, the terms of this Agreement shall prevail. City shall have the right to moc#ify the scope afi work to delete tasks in whale or in part. 2. Standard af Performance. While performing the Services, Cc�ns�ltant �rvill exercise the reasonab�le professional care and skill customarily exercis�d by reputable members of Consultar�t's professic�n practicing in #he urban Narthern Ca(ifornia Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. Unl�ss earlier terminated, the t��m of this Agreement will commence upan the date first abave written and shall expire upon completion of perfarmance of 5ervic�s hereunder by C�onsultant. 4�. Schedule.
