7. Status af Consuitant. Consultant wiil perForm the Services as an independent contractor and not as an employee of City. The persans used by Consultant to provide services under this Agreem�nt shall not be considered employees of City fa�r any purposes. 8. Subcontractin�. Consultant will not subcontract any portion of the Services without priar written approval of City Manager or his/her designee. If Consultant subcontracts any of the Services, Consultant will be fu11y responsible to City for the acts and omissiQns of Consultant's subcontractor and af the persons either directly or indirectly emplayed by the subeontractor, as Consultant is for the acts �nd omissions of persons directly employed by Consultant. Nothing contained in this Ac�reement will creafe any c�ntractual rslationship between any subcontractor of Consultant and City. Consultant will be responsible far p�ayrnent of subcontractors. Consultan#will bind ev�ry �ubcontractor and every subcontractor of a subcQntractor by the terms of this Agreement applicable to Consul#ant"s work unless specifically noted to the contrary in the subcontract and approved in writing by City. 9. C7iher Consultants. City reserves the right ta empioy other consultants �n cannection with the Services, 10. Indemnification. Con�ultant will defend, indemnify an�f hold harmless City and its officers, agents, employees and v�lunteers fram and against all claims, damages, losses and expenses including attomey fees arising vut of #he performance of the Services, caused in whale or in part by the willful misconduct 4r any negligent act or omission of the Consultant, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them rnay be liable, except where caused by the sole negligence or willful miscQnduct of City� The Parties expressly agree that any reasanable payment, attomey`s fee, cost ar exp�nse City incurs c►r makes to or on behalf of an injured employee under the City's self-administered workers" campensation is included as a foss, expense ar cost for the purposes of this sectivn. The parties expressly agree that this section shall survive the expiration or early termination of th� Agre�m�nt. 11. lnsuranc�. Consultant shall obtain and rnaintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons c�r damag� to property which may arise out of or in connection witt� perFarmance of the Senrices by Cvnsultant or Cansultant's agents, representatives, employees or subcontractors. The insurance carrier is required ta maintain an A.M. Best rating of nqt less than "A-:VII". 11.1 Coveraqes and Limits. Consultant, at its sole expense, shall maintain the types of cowerages and minimum limits indicated below, unless c�therwise apprvved by City in writing.
