Except as otherwise stated, all notices to be provided or that may be provided under <br /> this Agreernent must be in writing and delivered by regular and certi#ied mail. Each <br /> party will notify the o#her immediately of any ch�,nges of address that wauld require any <br /> no#ice or delivery to be direcied tQ another address. <br /> 17. Confli�ct of Irrterest. City will evaluate Consultant's duties pursuant to this <br /> Agreement to determine wh�ther disclosure under the Palitical Reform Act and City's <br /> Conflict of Interest Code� is required of Consultant or any of Consultant's employees, <br /> agents, or subccsntractors. Shauld it be determined that disclosure is required, <br /> Consultan# or Consultant's aff�cted employees, agents, or subcontractors will comp[ete <br /> and file witt� the City Cl�rk those schedules specified by City a�d contained in the <br /> Statement c�f Economic Interests Form 700. <br /> Consultant, for Cvnsultant and on behalf af Consu(tant's agents, employees, <br /> subcontractors and consultants warrants that by execution of this Agreement, that they <br /> have no interest, present vr contemplated, in the proj�cts affect�d by this Agreement. <br /> Consultant further warrants that neither Consultant, nor Consultant's agents, <br /> employees, subcontraetors and consultants have any ancillary real property, business <br /> interests or income that will be affected by this Agreement c�r, altematively, that <br /> Consul#ant will file with City an affidavit disclosing this interest. <br /> 18. General Complianee with l.aws. Corrsultant will keep fully infarmed of federaM, <br /> state and facal laws and Qrdinances and regula#ions which in any manner affect those <br /> employ�d by Consultant, ar in any way affec# the perFormance af the Services by <br /> �onsultant. Cansultant will at all times obs�erve and comply with these laws, <br /> ordinances, and regula#ions and will be responsible far the compliance of Consultant's <br /> Services wi#h all applicable laws, ordinances and regulations. <br /> 19. Qiscrirnination and Harassment Prohibited. Consultant will cc�mply with afl <br /> applicable laeal, state and federai laws and regulatians prohibiting discrimination and <br /> harassment. <br /> 20. Termination, In the event of the Consultant's failure to prosecute, deliver, or <br /> perForm the S�rvices, City may terminate this Agreement fior nonperformance by <br /> notifying Consultant in writing pursuant to the noti�e provisions of this Agreement. <br /> If City decides to abandon ar postpone the work or services contemplated by this <br /> Agreerr�ent, City may terminate fhis Agreement upon written natice to Gansultant <br /> pursuant to the notice provisions of this Agreement. Terminatian will be effect'rve <br /> immediately upon noti�cation. <br /> Either Party upon tendering thirty (30) days written notice ta the other pa�rty may <br /> terminate this Agreement. <br /> Within 10 days af termination Cansultant will assemble the work product without charge <br /> and put it in arder for proper filing �nd clasing and deliver it ta City.
