7.4.A. - Page 2 <br /> corporation will be the Redwood City Improvement Association (RCIA). The Interim Executive <br /> Board of the RCIA approved entering into a proposed Management and Disbursement <br /> Agreement on November 10, 2014. The City has made some changes to the contract since the <br /> Interim Board approved it and accordingly it is contemplated that some adjustments may be <br /> made to the contract as a result of negotiations. Accordingly, the City Council is requested to <br /> authorize the City Manager to make adjustments to the contract as needed <br /> ANALYSIS <br /> Two items are presented for consideration. The first is to amend the procedural ordinance to <br /> clarify the provision of improvements and activities by community benefit improvement districts <br /> as pertains to contracting with third parties. The second is to approve the proposed <br /> management services agreement with the owner's association. <br /> 1. Ordinance Amendment <br /> The proposed ordinance amends the procedural ordinance to clarify the provision of <br /> improvements and activities by community benefit improvement districts. An owner's <br /> association with which the City engages to implement the district plan contracts with third <br /> parties to carry out certain district activities. Under current law, such contracts must be <br /> competitively bid. At the same time, burdening an owner's association with the exacting <br /> competitive bid rules of the City may be counter - productive and challenging for such an <br /> organization to implement. Instead, the goal is to ensure that all public funds including <br /> assessment proceeds are expended in a manner that is cost - effective and respectful of the <br /> public trust. Accordingly, the proposed amendment exempts owners' associations for districts <br /> organized under Chapter 31 from the City's contracting rules. Instead, contracting <br /> requirements shall be specified in the applicable contract with the owner's association. <br /> 2. Contract with Owner's Association <br /> The Management and Disbursement Agreement is the proposed contract between the City <br /> and the Owner's Association, the RCIA. The agreement provides that the RCIA will administer <br /> and implement the District Plan, including but not limited to creating a District budget and <br /> policies to comply with the Plan, preparing and filing annual reports with the City reflecting <br /> compliance with the Plan, and overseeing the day -to -day administration, operations, and <br /> implementation of the District Plan. Details the responsibilities of the City and the RCIA as it <br /> relates to the expenditure of funds and ongoing reporting. <br /> Some of the key provisions of the Agreement are as follows: <br /> Redwood City Improvement Association Responsibilities: <br /> • RCIA shall be responsible for developing, implementing, directing and operating the <br /> Management Plan. RCIA assumes all responsibility for completing activities required <br /> to implement the Management Plan and its programs. <br /> • RCIA shall competitively bid all contracts for materials, personal services, <br /> equipment or supplies over $60,000 by obtaining at least three quotes from <br /> prospective sources, or if it cannot, solicit quotes from all known sources, publish a <br /> notice inviting bids, and request posting of the solicitation in the Clerk's Office.
