. , <br /> t�RIGIN�,L <br /> LETTER OF INTENT <br /> City of Redwood City and YMCA of Silicon Valley <br /> Over the past two years, representatives from the City of Redwood City and the YMCA of <br /> Silicon Valley have developed the framework for the redevelopment of Redwood City facilities <br /> and development of a new YMCA located in Redwood City's Red Morton Park. The following <br /> Letter of Intent ("LOI") outlines agreed upon project details, as well as, outstanding issues <br /> requiring further discussion and agreement. <br /> The purpose of this LOI is to set forth some of the basic terms and conditions for the <br /> development and construction of the proposed YMCA-City Project (the "Project") at Red <br /> Morton Park. The YMCA and City envision that the Project shall be a coordinated development <br /> of facilities by the YMCA and the City, with the YMCA facilities developed under a long-term <br /> ground lease with the City. Notwithstanding the foregoing, however, no binding offer or <br /> commitment shall exist until the City of Redwood City ("City") and the YMCA of Silicon <br /> Valley ("YMCA") have entered into a definitive agreement ("Agreement") with all requisite <br /> approvals. The City and YMCA anticipate that in addition to a ground lease, the parties shall <br /> enter into an agreement regarding the use, operation and maintenance of defined common areas. <br /> This Letter of Intent will serve as the framework for which we will move forward in our plans <br /> and preparations for a joint facility. <br /> I LEASED PREMISES <br /> Approximately four acres located at Red Morton Park, Redwood City, which is owned by the <br /> City. The precise location of the Premises will be determined by the parties. <br /> II. SITE PLAN <br /> A. By March 31, 2015, City and YMCA will develop a preliminary site plan based on <br /> the Program Framework and Facilities outlined below) and the Common Areas <br /> required. <br /> B. The City Manager and YMCA CEO will determine whether to use one mutually <br /> agreed upon architect for the site planning or to retain two architects. City and <br /> YMCA to collaborate on the site plan. <br /> C. The site plan includes the location and sizing of the City and YMCA's proposed <br /> improvements and the location and sizing of common areas (outlined below). <br /> III CONCEPTUAL PLANS AND PROGRAMS <br /> A. YMCA <br /> By April 30, 2015, YMCA shall develop a narrative description and conceptual plans of <br /> its proposed improvements in sufficient detail to be evaluated under the California <br /> Environmental Quality Act ("CEQA") (Pub. Resources Code §21000 et seq.), including <br /> the approximate square footage of its proposed indoor facilities, as well as its outdoor <br /> facilities and any other amenities.
