17. Confl't�t of Interest. City will evaluate Consultant's duties pursuant to this <br /> Agreement to determtne whether disciasure under the Political Reform Act and Citys <br /> Conflic# of Interest Cc�de is required of Consultant or any of Consuitant's employees, <br /> agents, or sutx�ontraetars. Should it be determined that disciosure is r+equ�red� <br /> Consultant or Consultant's affected employees� agents, or subcontractor� witt camplete <br /> and file with the C€ty C�erk those schedules specified by City and oontained in the <br /> Statemenfi of Economic lnterests Form 700. <br /> Consultant, far Consu�t�ant and on behaif of ConsuitanYs agents, employees, <br /> subcontrac#ors and consuttants warrants that by executian of this Agreement� that ti�ey <br /> fiave no interest, present or contemptated, in the projects affected by this Agreement. <br /> Consultant #urther warrants that neither Consuitant, nor Consul#ant's agents� <br /> employees, subcontrac#ers and consultants have any anc'r�lary reai property, business <br /> interests or income that will be �ffected by this Agreement or, al�ematively, that <br /> Consultant will file with City an affidavit disclosing this interest. <br /> 18. Consultant will keep fuliy infarmed ofi federal, <br /> state and locai lavvss and ordinances and regulations which in any manner affect those <br /> employred by Consuttant, or in any way affect the performance of the Servtces by <br /> Consul#ant, Consuttant will at afl times abserve and comply with these I�wrs, cudinahces, <br /> and regulations and wi�l be responsible for the compliance of Consultant's Senrices with <br /> a11 appticable laws, ordinances and regulations. <br /> 19. ,�iscximin�tian and Narassment Prahibit„�d. Consultant will comply w�th all <br /> applicable local, state €�nd federai laws and regulations prohibiting discrimination and <br /> harassment. <br /> 20. Tersnination. #n the event of the Consultant's failure to prosecute, deliver, or <br /> perForm the Services, City may terminate thts Agresment for nonperformance by <br /> notifying Consuttant in writing pursuant to the notice provisions of this Agreement. <br /> If City decides to abandon of postpone the work or services contemplated by this <br /> Agreement, City may terminate this Agreement upon written notice to Consultant <br /> pursuant to the notice provisions of this Agreement. Termination will be effec#fve <br /> immediately upon natification. <br /> Either Party upon tendering thirty (30) days written notice to the o#her party may <br /> terminate this Agreement. <br /> Within 10 days of#ermination Consultant will assemble the work product without charge <br /> and put it in order for proper filing and closing �nd deliver it to City. Consultant wiil be <br /> paid fior work performed up to th� terminat�n date; however, the total will not exceed <br /> the lump sum fee payab�e under this Agreement.
