Compensation. The Schooi Resource Officer shall be compensated by <br /> the City. Distri�ct shafl compensate City for services provided under Paragraph 2 above <br /> fQr the sum of$30,000.00. City shail submit an invoice at the end of the school year by <br /> May 31, 2015. Payment shall be made by District in one (1) payment due on ar before <br /> June 30, 2015. <br /> 6. Selection and Duties of' School Resource Officer. The selection and <br /> duties of the School Resourc� Officer shall be at the sole discr�tiQn ofi City's Chief af <br /> Police. The Chief of Police is encouraged to salicit input from District as to these issues. <br /> 7. Mutual indemnifica#ion. District will defend, indemnify and hold harmless <br /> Ciiy and its officers, agents, employees and volunfeers from and against all claims, <br /> dam�ges, losses and expenses including attomEy fees arising vut of the perFormance ofi <br /> the above-referenced services, caused in whole or in part by the willful miscvnduct or <br /> any negligent act or omission of the District, any subcontractor, anyone directly or <br /> indirectly employed by any of them or anyone for whose acts any of them may be liabl�, <br /> except where caused by the sofe negligence or willful misconduct of City. <br /> City will defend, indemnify and hold harmless District and its officers, agents, <br /> employees and valunteers fram and against all clalms, damages, losses and expenses <br /> including attorney fees arising out of the performance of the abo�e-referenced services; <br /> eaused in whale or in part by the willful misconduct or any negligent act or omission ofi <br /> the City, any subcon#ractor, anyone directly or indirectly employed by any of them or <br /> a�yone for whose acts any of them may be liable, except where caused by the sole <br /> negligenc� or willful misconduct of District. <br /> 8. Dispute Resol�tion. Should any dispute arise out of this Agreement, the <br /> Parties shaq meet in mediatian and attempt ta reach a resolution with the assistance of <br /> a mutually acceptable mediator. The costs of the'mediator, if any, shall be paid equally <br /> by the Parties. (#a mediated settlement is reached, neither Party shall be the prevailing <br /> party fiar the purposes of the resolution of the dispute. Neither Party shall be permitted <br /> #o �1e legal action without first meeting in mediation and maintaining a gaod faitti <br /> attempt to reach a mediatian resalution. Eaeh Party will bear their own attomey's fees, <br /> if any. <br /> 9. Relationshia of Parties. <br /> 9.1 Reimbursement to City in exchange far staffing the School Resource. <br /> Officer does not constitute employment of the o�aer, and ns� "special <br /> relationship," as that term may defined by law, is created or <br /> established with District, or 'rfis officers, employees, or succ�ssors, oc <br /> with any third party as a result of this Agr�ement.
