6.1 Coveraqes and Limits. Consultant, af its sole expense, shaii malntain the types of coverages and minimum limits ind�cated below,unlsss otherwise approved by City in wrtting. These minimum amounts of coverage wiA not constitute any limitatians or cap on ConsultanYs indemnification obiigations under this Agreement. 6.4.1 Commerciai General Liabilit�(,_ Fnsurance. Consultant shali maintain occurrence based coverage with limits not less than $500,000 per oceurrence, If the submitted policies contain aggregate limifs, such limits wilt apply separately to the Services, pro�eet, or tocation that is the subject of this Agreemant ar the aggregate wiN be tvvice the required per occurrence Iimit. The Commercial General Liability insurance poiicy shall be endorsed to name the City, its offiicers, agents, emplayees and volurrteers as add�ional insureds, and to state that the insurance will be primary and not contribute with any insurance or self-insurance maintained by the City. 6.1.2 Bus�ness Automobile Liabilitv Insurance. Consultan#shali maintain coverage with limits not less than �5Q0,000 per each accident for owned, hired and non-owned autamobiles. 6.1.3 Workers' Compensatian insurance. Consultant shalt maintain coverage as required by the Califomia �abor Gode. The Workers` Compensation policy shaii contain an endarsement stating tfiat the insurer waives any right to subrogatian against the City, its officers,agents,emp�oyees and volun#eers. 6.1.4 Emaloyer's Liability Insurance. Consuttant shaii maintain coverage with iimits not less than$500,000 per each accident for bodily injury o�disease. 6.2. Notice of CanceBation. This insurance will be in force during the life of the Agreement and any extensions of it and will nat be canceled wvithou#Consultant providing thirky(30)days prior wntten natice to City sent pursuant to fhe Notice provisions of this Agreement. 6.3 Providin�t Certificates of insurance and Endorsements. Prior to City's execution of this Agreemeni, Consultant sha{I provide to City certificates af insurance and above- referenced endorsements sufficient to satisfaction of City's Risk Manager. In n� event shall Gonsultant commence any work or provlde any Services under this Agreement until certificates of insurance and endorsements have been accepted by City's Risk Manager. 6.4 Failure to Maintain Coveraqe, if Consuttant faifs to comply with these insurance requirements,then Ciry will have the option to declare Consultant in breach, or may purchase replacement insurance or pay #he premiums that are due on existing polieies in order to maintain the required coverages. Consultant is responsible for any payments made by City to abtain or maintain insurance and City may collect these payments from Consuftant or deduct the amount paid from any sums due Consultant under this Agreement 6.5 Submi�sion of Insurance Policies. City reserves #he right to require, at any time, camplete copies of any or all required insurance poficies and endorsements. 7. Business License. Consultant will obtain and maintain a City of Redwood City Business License for the term of the Agreement, as may be amended from time-to-time. 8. Conflict of Interest. City will evaluate Consultant's duties pursuar�t to this Agreement to determine whether disciosure under the Poiitical Reform Act and City's Cooflict of Interest Code is required of Consultant or any of Consultant's emptoyees, agents or subcontractars. Should � be deterrnined that disclosure is required, Consultant or Consultant's emplayess, agetrts, or subcontractors wili complete and file with the City Clerk those schedules specifled by City and contained in the Statement of Econamic Interests Form 700.
