9. Compliance With Laws. Gonsultant wifl comply with all applicable Ic�al,state and federal laws and regulations prohibiting discrimination and harassment and wifl obtain and maintain a City of Redwood City Business License for the term of this Agreement. 10. Termination. City or Consultant may terminate this Agreement at any time after a discussion, and w�itten notice to the other party. City will pay Gonsultant's costs for Services completed up to the time of termination,if the Servic�s have been completed in accordance with the Agreement. 19. Claims and Lawsuits. By signing this Agreem+ent, Consultant agrees it may be subject to civil penalties for the fiNng of fialse claims as set forth in the Califomia False Claims Act, Govemment Gode sections 12650, et seq. Consultant futther acknowledges that disbarment by another jurisdiction is grounds for City to tecminate this Agreement. 12. Venue and Jurisdiction. Consuttant agrees and sfipulates thatthe proper venue and jurisdiction for resolution ofi any disputes betweer� the parties arising out of this Agreement is the Superior Gourt, San Mate�Caunty,Calffomia. 13. Assiqnment. Consultant may not assign this Agreement or any pa�t of it, or any manies due ar to become due under it,without the p�ior written consent of City. 14. Amendments. This Agreement may be amended by mutual consent of City and Cansuitant. Any amendment will be in writing, signed by both parties, with a statement of the changes in charges or time scheduie. 15. Entire A�reement. This Agreeme�t, together with any other written document re#erred to or cantemplated by it, afong with the purchase order for this Agreement and its provisions, embody#he entire Agreement and understanding befinreen the parties relating to the subject rnatter of it. fn case of conflict, the terms of the Agreement supersede the purchase order and any other attachment or exhibit. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed byboth parties. 16. Authoritv. The individuals executing this Agreement and the inst�uments re#erenced in i# an behalf of Consuitant each represent and wamant that they have the iegal power, right and actual authority to bind Consuttant to the terms and conditions of this Agreement.
