PWS <br /> <br />T-S9S <br /> <br />P 005/006 <br /> <br />F-773 <br /> <br />+ <br /> <br />8 <br /> <br />8 <br /> <br />8 <br /> <br />DES:dft v6/30/92 (002/51) <br />DES:djk 07/06/92R <br /> <br />to <br /> <br />the <br /> <br />f\1rnishing <br /> <br />such <br /> <br />services <br /> <br />Cal.i-{ornia <br /> <br />by <br /> <br />of <br /> <br />pertaining <br />municipalities <br /> <br />vehicles. <br /> <br />The <br /> <br />aforesaid <br /> <br />own <br /> <br />motor <br /> <br />their <br /> <br />for <br /> <br />warranty does not, <br /> <br />expressly or impliedly, <br /> <br />cover any unique or <br /> <br />special <br /> <br />maintenance <br /> <br />requireménts, <br /> <br />or <br /> <br />disclosed <br /> <br />whether <br /> <br />undisclosed, of Woodside's Motor Vehicles, nor does said warranty <br /> <br />extend to the consequences of Woodside's failure or omission to <br /> <br />schedule <br /> <br />Maintenance <br /> <br />Services <br /> <br />in <br /> <br />accordance <br /> <br />with <br /> <br />the <br /> <br />manufacturer's recommended maintenance service schedule for any <br /> <br />particular motor vehicle or the service schedule as recommended <br /> <br />by Redwood City. <br /> <br />6 . <br /> <br />HOLD <br /> <br />HARMLESS. <br /> <br />To <br /> <br />the <br /> <br />permissible <br /> <br />by <br /> <br />law, <br /> <br />extent <br /> <br />Redwood City and Woodside shall each hold harmless and defend the <br /> <br />other, and their respective City Co\1ncils, boards, commissions, <br /> <br />officers, employees, agents and advisors from and against claims, <br /> <br />demands, suits <br /> <br />(whether at law or in equity), or other judicial <br /> <br />or quasi-judicial proceedings arising out of the intentional or <br /> <br />negligent act, or omission to act, of the other with respect to <br /> <br />their respective obligations hereunder. <br /> <br />7. <br /> <br />Subject to the provisions of paragraph 8, below, <br /> <br />TERM. <br /> <br />the <br /> <br />initial <br /> <br />of <br /> <br />shall <br /> <br />(1 ) <br /> <br />year <br /> <br />be <br /> <br />this <br /> <br />agreement <br /> <br />term <br /> <br />one <br /> <br />commencing <br /> <br />first <br /> <br />hereinabove written; <br /> <br />provided, <br /> <br />from <br /> <br />the <br /> <br />date <br /> <br />that <br /> <br />shall <br /> <br />renewable <br /> <br />automatically <br /> <br />for <br /> <br />the <br /> <br />term <br /> <br />hereof <br /> <br />be <br /> <br />additional one-year terms. <br /> <br />8. <br /> <br />Either party may terminate this agreement <br /> <br />TERMINA'fION. <br /> <br />without cause by giving the other party written notice thereof <br /> <br />not less than thirty <br /> <br />(30) <br /> <br />days prior to the effective date of <br /> <br />termination as <br /> <br />forth in <br /> <br />said noi:ice; provided, <br /> <br />that if no <br /> <br />set <br /> <br />4 <br />
