Attorney's Fees: If any action, proceeding, and/or litigation is commenced arising out of or relating <br /> <br />to this Agreement, then the prevailing party shall be entitled to receive, in addition to any other relief <br /> <br />that may be granted, reasonable attorney's fees, costs, and expenses incurred in the action, proceeding <br /> <br />and/or litigation. <br /> <br />37. Duty to Cooperate: The parties agree to cooperate and use their good faith to fully complete and <br /> <br />execute any and all documents and take any and all actions that are necessary to give full force and <br /> <br />effect to the terms and intent of this Agreement. <br /> <br />38. Effective Date: This Agreement shall become effective immediately upon execution of this <br /> <br />Agreement by all of the parties hereto. <br /> <br />39. Legal Relationships: The Agreement and the legal relations between the parties shall be governed <br /> <br />by and construed in accordance with the laws of the State of California.
