Representation: Each party has been represented for the negotiation of this Agreement by legal <br /> <br />counsel of its own choice, or has had the opportunity for such representation and has waived it. <br /> <br />31. Joint Preparation: This Agreement shall be deemed to be jointly prepared by the parties hereto and <br /> <br />their respective legal advisors and no party shall claim the benefit of any rule of interpretation of this <br /> <br />state, whether by statute or otherwise, which would cause ambiguities in this Agreement to be <br /> <br />interpreted against the party who drafted it. <br /> <br />32. Integration: This Agreement correctly sets forth the rights, duties, and obligations of each party to <br /> <br />the other party as of its date and contains all of the covenants and agreements between the parties with <br /> <br />respect to such matters in every manner whatsoever. Each party to this Agreement acknowledges that <br /> <br />no representations, inducements, promises or agreements, orally or otherwise, have been made by any <br /> <br />party, or anyone acting on behalf of any party, which are not embodied herein. No representation or <br /> <br />promise not expressly contained in this Agreement has been made and no party hereto is entering into this <br /> <br />Agreement on the basis of any promise or representation, express or implied, not otherwise contained <br /> <br />herein. This Agreement supersedes any prior agreement or understanding and contains the entire agreement <br /> <br />of the parties on the matters covered herein, and the terms hereof are contractual and not a mere recital. <br /> <br />33. Severability: If any provision in this Agreement is held by a court of competent jurisdiction to be <br /> <br />invalid, void, or unenforceable, the remaining provisions will nevertheless continue in full force without <br /> <br />being impaired or invalidated in any way. <br /> <br />34. Modifications: Any modification of this Agreement shall be effective only if it is in writing, signed <br /> <br />by the party to be charged, and a copy thereof properly delivered to the party seeking to enforce such <br /> <br />modification. <br /> <br />35.
