<br />25. No Assignment: This Agreement and any of the rights, duties, and/or liabilities that arise under this <br /> <br />Agreement or any modification, amendment or alteration of this Agreement may not be assigned to any <br /> <br />other person or entity without the written consent of the non-assigning party <br /> <br />26. Notices: All notices or other communications required or permitted by this Agreement or by law to <br /> <br />be served on or given to a party by the other party shall be in writing. Each party represents that their <br /> <br />current address is as follows: <br /> <br />a. The City of Redwood City c/o Lisa D. Wills, Law Offices of Lisa D. Wills, 1020 Aileen <br />Street, Suite A, Lafayette, CA 94549 <br /> <br />b. Interstate Grading & Paving, Inc. c/o A. Robert Rosin, Aherne, Leonidou & Rosin, <br />5 Thomas Mellon Circle, Suite 205, San Francisco, CA 94134 <br /> <br />All writings, notices or communications shall be deemed to be served and shall be deemed to be <br /> <br />made within 5 days of the date of the postmark of the writing, notice or communication. All writings, <br /> <br />notices, and communications shall be addressed and directed as set forth in this paragraph. Any change <br /> <br />of address by any party must be made by giving written notice of the change to the parties as stated in <br /> <br />this paragraph within five days of said change and in the manner set forth in this paragraph. <br /> <br />27. Successors: This Agreement shall bind and inure to the benefit of each party and their respective <br /> <br />governing bodies, officers, employees, agents, consultants, directors, shareholders, affiliates, parent <br /> <br />corporations, subsidiaries, related companies, insurers, successors and/or predecessors in interest and <br /> <br />assIgns. <br /> <br />28. Time of Essence: Time is of the essence for each and every provision of this Agreement and the <br /> <br />time periods specified herein for performance of any obligation or the accrual of any right are a material <br /> <br />part of the consideration for the execution of this Agreement. <br /> <br />29.
