Nothing herein shall prevent Developer <br /> from conveying all , or a part of , its interest in the Property to <br /> a buyer , assignee ( s ) or other such nominee ( s ) as Developer may <br /> elect . <br /> 23 . SUCCESSORS . The obligations imposed by this Agreement <br /> shall be considered covenants running with the lands described in <br /> Paragraph A and more particularly in Exhibit "A" hereof in <br /> accordance with provisions of Sections 1460 , et seq . , of the <br /> Civil Code of the State of California , and shall inure to the <br /> benefit of , and be binding upon all successive owners of such <br /> lands or part thereof , during the term of this Agreement , as <br /> provided in Section 65868 . 5 of the Government Code of the State <br /> of California . <br /> 24 . VALIDITY . Should any of the covenants , conditions or op <br /> terms of this Agreement be held by a court of competent CD <br /> CD <br /> jurisdiction to be illegal or in conflict with any applicable m <br /> O <br /> law , the validity of the remaining portions or provisions shall CD <br /> not be affected thereby . The parties agree to use their best <br /> efforts to defend the validity of this Agreement against the <br /> claims of third parties . <br /> 25 . THIRD PARTIES . No person other than the City , for <br /> itself and on behalf of and General Improvement District No . <br /> 1 - 64 , Developer or their respective successors is intended to or <br /> shall have any right or claim under this Agreement , this <br /> Agreement being for the sole benefit and protection of the <br /> 21 <br />
