From and after the date of such recordation , this <br /> Agreement shall impart such notice thereof to all persons as is <br /> afforded by the recording laws of this State . <br /> 19 . CERTIFICATE OF SATISFACTION . After completion of the <br /> Project , the City , upon request by Developer , shall execute in <br /> recordable form and deliver to Developer an instrument certifying <br /> that Developer has satisfied all of Developer ' s obligations under <br /> this Agreement to the date of such certification . <br /> 20 . RELATIONSHIP OF PARTIES . It is understood and agreed <br /> OD <br /> that the contractual relationship between the City and Developer O <br /> tO <br /> is such that the latter is an independent contractor and in no <br /> O <br /> case as agent of the City . CD <br /> 21 . HOLD HARMLESS . Developer agrees to and shall hold the <br /> City , its officers , agents , employees and representatives <br /> harmless from , and shall defend the City and such other persons <br /> against , liability for damage or claims for damage for personal <br /> injury including death and claims for property damage which may <br /> arise from the actions of Developer , or its contractors , <br /> subcontractors , agents , employees or other persons acting on <br /> their behalf which relate to the real property covered by this <br /> Agreement ; provided , however , that the foregoing shall not extend <br /> to any negligent or willful acts or failures to act committed by <br /> the City , its officers , agents , employees or representatives , and <br /> for which the City or any such other person would otherwise be <br /> legally liable . <br /> 20 <br />
