19.3 Contractvr agrees upon reasonable notice to maintain and provide to <br /> County, to any Federal or State department having monitoring or review <br /> authority, to County's authorized representatives, andlor to any of fheir <br /> respective audit agencies access to and the right to examine afl records <br /> and documents necessary to determine compliance with relevant <br /> Federal, State, and locai statutes, rules, and regulatians, to dete�mine <br /> compliance with this Services Agreement, and to evatuate the quality, <br /> appropriateness, and timeliness of services performed. <br /> 19.4 A11 books, records, reports and accounts maintained pursuant to this ' <br /> Services Agreement as related to Contrac#or's activi#ies under this <br /> Services Agreement shafl be open to inspection and audi3 by the County <br /> ar a designated representative, and by represen#atives of the state and <br /> federal government, upon reasonable notice during norma! business <br /> haurs throughout the life af#his Services Agreement and for a period of <br /> four (4) years thereaffsr, <br /> 19.5 Con'trac#or shal! use a!I cammercially reasonal�Is effo�fs ta achieve <br /> economy, efficiency and effectiveness in performance of the services <br /> provided. The County shall rnake every effort to foflovv Generaily Accepted <br /> Gavernment Auditing Standards (GAGAS). The Cantractor shall not ' <br /> unreasonably deny such requests under this intent. Counfy may not ; <br /> require additional information of Contractor which Contractor, in its sale : <br /> discretion, knows to be unduly burdensame to provide and/or which wi�l <br /> interfere with the opera#ions of Gontrac#or's programs and services <br /> _ including such programs anct services which are not covered by this ' <br /> services Agreement. - <br /> 20. Merqer�fau�e & Atnendments <br /> This Services Agreement, including the Exhbits and Attachments attac�ed to this <br /> Services Agreement and incorporated herein by r�ference, constitutes th� soie Services <br /> Agreement af the parties to this Setvices Agreement and correctly states the rights, duties, <br /> and obligations of each party as of this dacument's date. !n the event that any term; <br /> condition, provision, requirement, or specification set for#h in the body of this Services <br /> Agreement conflicts with or is inconsistent with any term, candition, pravision, <br /> requirement, or specification in any Exhibit andlor Attachment to this Services Agreement, <br /> the provisions of the body of this Services Agreement shall prevail. Any prior agreement, <br /> promises, negotiatians, or representations between the parties not expressly stated in thEs <br /> document are not binding.
