13 | Page February 5, 2015 <br /> <br />which maintenance or repairs are required, whether or not such <br />repair work shall be undertaken, or if said equipment should be <br />replaced. <br /> <br />If the Parties terminate this Agreement or the Parties do not <br />renew this Agreement, all Parties agree to be financially <br />responsible in their Proportionate Share of Cost as set forth in <br />Exhibit B for the remaining cost of any lease for vehicles or <br />equipment used by the County’s designated contractor solely for <br />the purpose of providing services under this Agreement. <br /> <br />b. Parties acknowledge that the County has prepared a Maintenance <br />& Repair survey “Survey” of conditions and deferred maintenance <br />and repairs of the portion of the PHS/SPCA facilities used for <br />contracted animal control services, located at 12 Airport <br />Boulevard in the City of San Mateo, which document is included in <br />Attachment 1. <br /> <br />While Animal Control Contractor may use contract funds for the <br />general maintenance of the PHS/SPCA facility located at 12 <br />Airport Boulevard in the City of San Mateo that are used to <br />provide contracted animal control services, repairs shall be <br />prioritized to those noted in the “Survey” or that ensure safe and <br />effective operation of the facility. <br /> <br />Animal Control Contractor will send the County a quarterly <br />itemized report showing the repairs and maintenance performed <br />at the facility. <br /> <br />The Animal Control Contractor agrees to allow the County <br />Department of Public Works to access to the facility quarterly to <br />review conditions. This authorized visit does not in any way <br />create a process for authorizing repairs as the decision of which <br />repairs to perform remains at the discretion of the Animal Control <br />Contractor. <br /> <br />In the event of an emergency safety related repair or other repair <br />deemed necessary in order to maintain the facility in operable <br />condition is needed to the portions of the PHS/SPCA facility <br />located at 12 Airport Boulevard in the City of San Mateo that are <br />used to provide contracted animal control services, Parties agree <br />to meet in good faith to jointly determine which maintenance or <br />repairs are required and whether or not such repair work shall be <br />undertaken. <br /> <br />c.
