AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND <br /> THE PENINSULA HUMANE SOCIETY & SPCA, A CALIFORNIA NONPROFIT <br /> CORPORATION <br /> THIS AGREEMENT, entered into this 2 day of June , 20 15 <br /> by and between the COUNTY OF SAN MATEO, hereinafter called "County," and <br /> PENINSULA HUMANE SOCIETY & SPCA, hereinafter called "Contractor"; <br /> WITNESSETH: <br /> WHEREAS, pursuant to Government Code Section 31000, County may contract <br /> with independent contractors for the furnishing of such services to or for County or any <br /> Department thereof; and <br /> WHEREAS, it is necessary and desirable that Contractor be retained for the <br /> purpose of providing animal care, control and shelter services, as required under local and <br /> state law and in the interest of the public safety and welfare, for the entire unincorporated <br /> territory of the County of San Mateo and all cities of the County of San Mateo which have <br /> contracted with the County for such services (collectively hereinafter, "Cities"); and <br /> WHEREAS, Contractor is a private, nonprofit corporation organized under the <br /> California Nonprofit Public Benefit Corporation law for charitable purposes, including for <br /> the prevention of cruelty to animals; and <br /> WHEREAS, County and Contractor (collectively hereinafter, "Parties") wish to enter <br /> into a written Agreement for Animal Control and Shelter Services, in which Contractor <br /> agrees to perform and County agrees to compensate Contractor for performance of <br /> certain specified animal care, animal control, and shelter services (hereinafter, "Services <br /> Agreement"); and <br /> WHEREAS, Parties entered into a written Lease Agreement, dated October 12, <br /> 1971, as amended (hereinafter, "Lease Agreement"), in which County leased to <br /> Contractor and Contractor leased from County certain premises located at 12 Airport <br /> Boulevard in the City of San Mateo containing approximately 8.766 acres, more or less, at <br /> the rental rate of one dollar ($1.00) per annum for an initial period of four (4) years, ending <br /> August 31, 1975, and renewable at the option of Contractor for three (3) successive <br /> periods of twenty-five (25) years each upon written notice to the County, for use and <br /> occupation of Contractor in carrying out the animal care, control and shelter services <br /> specified in the Services Agreement; and <br /> WHEREAS, on or about August 17, 1976, Parties entered into an amendment of <br /> the October 12, 1971 Lease Agreement whereby Contractor relinquished a portion of the <br /> leased area (identified as Parcel B on Exhibit A) and the County added to the leased area <br /> February 5,2015 -1 - <br />
