a portion (identified as Parcel C on Exhibit A), such that the Amended Lease Agreement <br /> 14 encompassed a lease of approximately six (6) acres of County real property; and <br /> WHEREAS, on or about August 12, 2003, County sent written notice to Contractor <br /> terminating Parties' Lease Agreement early as of August 12, 2006, pursuant to Section <br /> 18(b) of the Lease Agreement (hereinafter, "Lease Termination Notice"); and <br /> WHEREAS, on or about June 17, 2003, December 14, 2004, April 24, 2007, and <br /> April 26, 2011, Parties entered into written agreements for Animal Control Services and <br /> Shelter Services for the purpose of amending and extending the term of the Services <br /> Agreement and extending the term of the Lease Agreement by a period ending June 30, <br /> 2015; and <br /> WHEREAS, Parties desire to enter into a Services Agreement and extend the <br /> current Lease Agreement as set forth herein. <br /> NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS <br /> FOLLOWS: <br /> 1. Exhibits and Attachments <br /> The following exhibits and attachments are attached to this Services Agreement and <br /> incorporated into this Services Agreement by this reference: <br /> Exhibit A—Leased Areas <br /> Exhibit B—Contract Areas <br /> Exhibit C—Services <br /> Exhibit D — Fees to Be Collected for Services Provided <br /> Exhibit E—Payments and Rates <br /> Attachment 1 — Public Works Inspection dated March 16, 2009 <br /> Attachment 2 — Quarantine Algorithm dated February 5, 2014 <br /> 2. Contractor to Provide <br /> 2.1 Services. In consideration of the payments set forth herein and in Exhibit <br /> E, and under the general direction of representatives of the San Mateo <br /> County Health System, Contractor shall provide animal control services <br /> including field enforcement, shelter services, and treatment including spay <br /> and neuter, of all animals as described in Exhibit C for County and <br /> contract areas as shown in Exhibit B. <br /> 2.2 Facilities & Equipment. Unless stated elsewhere in the Services <br /> Agreement, Contractor is responsible for the purchase, repair, and <br /> maintenance costs of all facilities and equipment needed to perform <br /> services outlined in Exhibit C. <br /> If County and Cities choose, at their own discretion, to replace equipment <br /> that is used solely by the Contractor for the purpose of this Services <br /> February 5,2015 -2- <br /> 2 <br />
