( . ,�,�� <br /> AMENDMENT NO. 2 TO EXTEND AND AMEND THE AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (Management Partners, Inc.) <br /> This Amendment No. 2 is entered into and effective as of the � day of <br /> —!;,�;�.(.y— , 2016, extending and amending the agreement dated July 18, 2015 <br /> by and between the City of Redwood City, a charter city and municipat corporation of <br /> the State of California ("City"), and Management Partners, Inc. ("Consultant") <br /> (collectively, the "Parties")for management assistance. <br /> RECITALS <br /> A. On July 18, 2015, the Parties executed the Agreement for Professional <br /> Services ("Original AgreemenY'); and <br /> B. By letter agreement dated August 28, 2015, the Parties agreed to a "Revised <br /> Scope of Services for Additional Tasks" ("Letter Agreement"); and <br /> C. On February 22, 2016, the Parties executed Amendment No. 1 to Extend and <br /> Amend Agreement for Professional Services ("Amendment No. 1")(the Original <br /> Agreement, Letter Agreement and Amendment No. 1 are collectively referred to as the <br /> "Agreement"); and <br /> D. The Parties have negatiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." <br /> 2. Consultant will complete all work described in Exhibit "A" by April 30, <br /> 2017. <br /> 3. All other provisions of the Agreement will remain in full force and effect. <br /> 4. All requisite insurance policies to be maintained by the Consultant <br /> pursuant to the Agreement, as may have been amended from time to time, shall include <br /> coverage for this Amendment. <br /> 5.
