ORIGINAL <br /> AMENDMENT NO. 4 TO EXTEND AND AMEND AGREEMENT FOR <br /> (Management Partners, Inc.) <br /> This Amendment No . 4 is entered into and effective as of the 2< day of <br /> x-, c OG,t , 2016 , extending and amending the agreement dated July <br /> 18 , 2015- by and between the City of Redwood City, a charter city and municipal <br /> corporation of the State of California ("City") , and Management Partners , Inc. , <br /> ("Consultant") (collectively, the "Parties") for project management assistance. <br /> RECITALS <br /> A. July 18 , 2015 , the Parties executed the Agreement for Professional <br /> Services ("Original Agreement") ; and <br /> B . By letter agreement dated August 28 , 2015 , the Parties agreed to a <br /> " Revised Scope of Services for Additional Tasks (" Letter Agreement") ; and <br /> C . On February 22 , 2016 , the Parties executed Amendment No . 1 to <br /> Extend and Amend Agreement for Professional Services ("Amendment No . 1 ") ; and <br /> D . On July 7, 2016 , the Parties executed Amendment No . 2 to Extend <br /> and Amend Agreement for Professional Services ("Amendment No . 2") ; and <br /> E . On August 23, 2016 , the Parties executed Amendment No . 3 to Extend <br /> and Amend Agreement for Professional Services ("Amendment No. 2") ("the Original <br /> Agreement, Letter Agreement, Amendment No . 1 , Amendment No. 2 , and Amendment <br /> No . 3 are collectively referred to as the "Agreement") ; and <br /> F. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A, " <br /> NOW, THEREFORE , in consideration of these recitals and the mutual covenants <br /> contained herein , the Parties agree as follows: <br /> 1 . In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total Agreement amount shall not exceed Fifty <br /> Thousand Dollars $50 ,000 .00. <br /> 2 . City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Fifty Thousand <br /> Dollars $50 ,000 .00 , for an aggregate amount of $ 109 ,500 .00 .
